1. PURCHASING

1.1 Purchase of the Products through this Website must comply with the terms and conditions set forth herein. Guarip reserves the right in its sole discretion to refuse to sell its Products according to its full discretion and in compliance with any applicable law. Product prices and payment terms displayed on the Website, if displayed, are subject to changes according to Guarip’s full discretion.

1.2 It is your responsibility to ensure that any personal information or ordering details you provide are accurate and complete. Guarip will process personal information in accordance with its Privacy Policy and applicable Israeli privacy and data-protection law, including the Privacy Protection Law, 1981 and regulations made thereunder, as amended from time to time. The Privacy Policy forms an integral part of these Terms of Use.

1.3 You are also responsible for ensuring that your computer system meets all relevant technical specifications necessary to use the Website and is compatible with this Website.

1.4 Guarip reserves the right in its sole discretion to refuse any purchase submitted through the Website. If your order is accepted by Guarip, we will send you a confirmation email to the email address you have provided, together with a password and a direct link to access the relevant course. The password and course access link are provided for your personal use only and may not be transferred, shared, sold, published or otherwise made available to any third party. Any unauthorized sharing or use of the password or access link may result in the suspension or blocking of your access to the course, without any refund.

1.5 Cancellation rights are governed by mandatory applicable law, including the Israeli Consumer Protection Law, 1981. Digital courses and downloadable or streamed course materials may constitute “information” within the meaning of the Computers Law, 1995, in which case the statutory cancellation right applicable to certain remote-sale transactions may not apply. Nothing in these Terms derogates from any cancellation right that cannot lawfully be waived.

Subject to any mandatory right under applicable law, Guarip’s commercial policy is that a request to cancel a digital Product may be submitted before the user first accesses or activates the relevant course content. Once access has been activated or any lesson, video, file or other digital material has been opened, viewed, streamed, downloaded or otherwise used, no cancellation or refund will be available, except where required by law or expressly approved by Guarip in writing.

A cancellation request may be delivered through any cancellation method that Guarip is required to make available under applicable Israeli law, including through the designated online cancellation mechanism where required. Where a refund is due under mandatory law or is otherwise approved by Guarip, it will be processed in accordance with the applicable legal time limits and by the payment method required or permitted by law.

For the avoidance of doubt, the above policy does not exclude or restrict rights relating to non-conformity, failure to supply the purchased Product, misleading information, breach by Guarip, or any other right that cannot be excluded under applicable Israeli law.

2. SECURE PAYMENT POLICY

2.1 All payment transactions made through the Website are processed immediately by Guarip’s third-party payment service provider. The payment page is hosted and operated by Kajabi (Kajabi Payments) and is secured in accordance with applicable payment security standards, including PCI DSS Level 1 encryption. Any credit or debit card details entered by you are submitted directly to the payment service provider’s secure system and are not stored, retained, caught or otherwise processed by Guarip. Upon completion of the payment process, you will receive an immediate confirmation indicating whether the transaction has been approved or declined, before being redirected back to the Website.

2.2 Payment for each Product shall be made at the time the relevant Product order is placed through the Website.

3. TYPOGRAPHICAL ERRORS

Product description or price, Guarip may, subject to applicable consumer law, contact the purchaser to clarify the error and, where legally permitted, cancel the affected order and promptly refund any amount actually charged. Nothing in this clause permits Guarip to disregard a binding price or other consumer right where applicable law provides otherwise.

4.1 Unless otherwise specified, all content and materials published on this Website are presented solely for your private, personal, and non-commercial use.

4.2 We have made reasonable effort to ensure that the Website complies with the applicable laws. 8.1 The copyright in all material on this Website is solely and exclusively held by Guarip or licensed to Guarip by a lawful third party. Brand names and Trademarks belong to their respective owners.

8.2 Except as expressly authorized by Guarip or relevant third parties, you agree not to duplicate or copy, download, archive or modify, rent, sub-license, lease, loan, sell, distribute, or create derivative works of any content of the Website or the Product, in whole or in part.

8.3 If you believe that any content available on the Website infringes your intellectual property rights or any other legal right, you may notify Guarip in writing at [email protected] and provide sufficient details to allow Guarip to identify the allegedly infringing content, including your contact details, a description of the protected work or right, the location of the allegedly infringing content on the Website, and a statement that you believe in good faith that the use of such content is unauthorized. Guarip may, at its sole discretion and subject to applicable law, remove, disable access to, or request clarification regarding any content alleged to be infringing, without admitting any liability.

9.1 Guarip grants you a limited, revocable, and non-exclusive license to access and make personal use of the Website and its content (e.g., the Product) for as long as the Website remains active and the relevant course remains available through the Website, subject to these Terms of Use. This limited license does not include the right to: (I) modify or download the Website or its content except that you may download PDF summary files made available by Guarip for each lesson for your personal use only; for the avoidance of doubt, course videos are not available for download and may not be downloaded, copied, recorded, captured, saved, distributed or otherwise made available offline or to any third party; (ii) make any use of the Website or its content other than personal use; (iii) create any derivative work based upon either the Website or its content; (iv) use any meta tags or other “hidden text “utilizing our names or Guarip Trademarks or to otherwise use the Trademarks; or(v) use software robots, spiders, crawlers, or similar data gathering and extraction tools, or take any other action that may impose an unreasonable burden or load on our systems.

9.2 Guarip also grants you a limited, revocable, and non-exclusive license to create a hyperlink to the Website for personal, non-commercial use only.

9.3 Any unauthorized use by you of the Website terminates the limited licenses set forth in this section without prejudice to any other remedy provided by applicable law or these terms and conditions.

10.1 Guarip makes no representations whatsoever about any other websites which you may access through the Website, or which may link to the Website. Any other website is independent from our Website and Guarip has no control over the content or availability of that website. A link to any other website does not constitute our endorsement or our acceptance of any responsibility for the content, or the use of, such website. So far as permitted by law, Guarip is not liable for any loss or damage caused or alleged to be caused by or in connection with use of or reliance on any contents, goods, or services available on or through any other website or resource. 12.1 For any Product you purchase from the Website, Guarip warrants that it has the right to sell the Product and that the Product will correspond with the description it has provided.

Without derogating from the foregoing, and subject always to liability that cannot lawfully be excluded, Guarip shall not be liable for injury, loss, damage, claim or expense suffered by a user or any third party as a result of the user’s decision to perform, attempt, omit, delay or discontinue any act in reliance on or by reference to course content, including first-aid techniques demonstrated in the Products. The user understands that the actual application of first-aid knowledge depends on the specific circumstances, the condition of the person requiring assistance, the user’s ability, and instructions received from emergency personnel.

12.4 Except for liability that cannot lawfully be limited or excluded, and to the extent permitted by applicable law, Guarip’s aggregate contractual liability arising from a specific purchased Product shall not exceed the amount actually paid by the user for that Product. This limitation shall not apply to liability for bodily injury to the extent a limitation or exclusion is prohibited by law, fraud, intentional misconduct, or any other liability that applicable law does not permit the parties to exclude or limit.

For the avoidance of doubt: (a) the Products are general educational material only; (b) they do not constitute a medical service, individualized medical advice or case-specific emergency instruction; (c) they do not grant any medical, paramedical, first-aid, emergency-care or instructor certificate, qualification, license or authorization; (d) a user may not present himself or herself as professionally certified by reason of completing a Product; and (e) in an emergency the user should promptly contact the applicable emergency service and follow professional instructions. The purpose of the Products is to add practical awareness that may assist a person who is present at an incident in providing reasonable initial assistance until qualified assistance becomes available, not to replace certified professional training or emergency services.

User responsibility when applying course content. To the maximum extent permitted by law, any real-life action taken by a user is undertaken on the user’s own judgment and responsibility. The user shall not use the Products as a basis for presenting himself or herself as qualified to diagnose, treat, certify, supervise or instruct others. Guarip does not undertake that use of the Products will prevent injury, deterioration, death or other harm, and does not guarantee any particular outcome from the application of course content.

12.5 You understand that Guarip cannot and do not guarantee or warrant that any material available for downloading from the Website will be free from infection, viruses and/or other code that has contaminating or destructive properties. You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy your requirements for the accuracy of data input and output.

13. APPLICABLE LAW

13.1 These Terms of Use, the purchase and use of the Products, and the use of the Website shall be governed by the laws of the State of Israel. Mandatory consumer-protection and other statutory rights applicable to the user shall not be derogated from by these Terms. Subject to any mandatory rule regarding local jurisdiction, disputes shall be submitted to the competent courts in Israel.

14. INTERPRETATION AND LANGUAGE

14.1 The descriptive headings in the Terms of Use are for convenience only and shall not control or affect the meaning, interpretation, or construction of any provision of the Terms of Use. Any ambiguities in the interpretation of the terms in the Terms of Use shall not be construed against the drafter. Unless stated otherwise, the word “including” means “including, without limitation.” The Terms of Use do not limit any rights of enforcement that we may have under copyright, patent, or other laws. Guarip delay or failure to assert any right or provision under the Terms of Use does not constitute a waiver of such right or provision. No waiver of any term of the Terms of Use will be deemed a further or continuing waiver of such term or any other term.

14.2 These Terms are drafted in the masculine form, feminine form, singular or plural form, or in any other grammatical form solely for convenience, and shall be deemed to apply equally to all genders and to both individuals and entities, as applicable.

14.3 If these Terms are translated into any language other than English, such translation shall be provided for convenience purposes only. In the event of any inconsistency, discrepancy or conflict between the English version and any translated version, the English version shall prevail and shall be the binding and governing version

15. GENERAL

15.1 If any provision or term of these Terms of Use shall become or be declared illegal, invalid, or unenforceable for any reason whatsoever, such term or provision shall be separable from the other terms and shall be deemed to be deleted from them.
